In providing the information in this Preliminary Application Form, including the Statement of Financial Position:

1. You consent to us conducting further enquiries about you as may be necessary to assist us in evaluating your Preliminary Application (including credit checks on you/your company/business/trust and other proposed principals in the franchise).

2. You confirm that all the information you provide in this form or in the course of your interest in applying for and acquiring a Broo Direct franchise is true and correct in all respects and not misleading by inclusion or omission.

3. You confirm that you do not have any association with direct competitors of Broo and are not involved in any other distribution franchise or operation.

4. You confirm that you are not an employee or otherwise associated in any way with any company that could be viewed as a competitor to Broo.

5. You acknowledge that Broo has not represented that in accepting and considering your preliminary application that Broo will necessarily consider you a suitable candidate for a Broo Direct franchise.

6. You recognise and acknowledge the competitive value and confidential nature of all information provided by Broo to you, and that this information is provided to you for the sole purpose of assessing the Broo Direct franchise opportunity and it shall under no circumstances be disclosed to a third party other than to professional advisors in the course of obtaining professional advice on the Broo Direct franchise opportunity.

7. You acknowledge that should Broo decide in its absolute discretion to offer you the opportunity to acquire a Broo Direct franchise, Broo will (subject to you signing an appropriate confidentiality agreement with Broo) issue you with a formal disclosure statement, draft franchise agreement and other information necessary for you to make an informed assessment as to whether to acquire a Broo Direct franchise. Broo shall have absolute discretion to determine which (if any) of the parties who submit Preliminary Applications it elects to shortlist, and then provide with, formal disclosure documentation regarding the relevant Broo Direct franchise opportunity.

8. You acknowledge that Broo will not be bound to you in any respect in relation to the grant of a Broo Direct franchise unless and until a formal franchise agreement is entered into, and following entry into the franchise agreement the rights and obligations of the parties shall be as contained in the terms and conditions of that franchise agreement.
